Terms of Service

Article 1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Quantide LLC ("Quantide," "we," "us," or "our") governing your access to and use of Quantide's websites, applications, software, APIs, and related services (collectively, the "Services").

By creating an account, accessing, downloading, installing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any policies or documents incorporated by reference, including our Privacy Policy.

If you do not agree to these Terms, you may not access or use the Services and please refrain from trying to do so.

If you access or use the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and references to "you" will include that entity.

We may modify these Terms from time to time. If we make material changes, we will provide notice through the Services or by other reasonable means. Your continued use of the Services following the effective date of updated Terms constitutes acceptance of the revised Terms.

Article 2. Eligibility and Accounts

You may use the Services only if you are legally capable of entering into a binding agreement and are not prohibited from using the Services under applicable law.

By using the Services, you represent and warrant that:

• you are at least thirteen (13) years of age. If you are under the age of eighteen (18), you represent that your parent or legal guardian has reviewed and agreed to these Terms and has authorized your use of the Services;
• all information you provide to Quantide is accurate, current, and complete;
• you will maintain and promptly update your account information as necessary;
• you are not located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive U.S. sanctions and are not identified on any applicable government restricted-party list; and
• your use of the Services complies with all applicable laws, regulations, sanctions programs, and governmental requirements.

You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. You must promptly notify Quantide if you become aware of any unauthorized access to or use of your account.

We reserve the right to refuse registration, suspend access to, or terminate accounts where we reasonably believe that an account violates these Terms, presents a security risk, or may expose Quantide, its users, or third parties to legal or operational harm.

Article 3. The Services

Quantide provides software and related services that enable users to connect, manage, access, organize, and interact with artificial intelligence tools, models, services, and related technologies offered by third-party providers.

Certain features of the Services may require users to connect third-party accounts, credentials, subscriptions, application programming interfaces (APIs), or other external services. Quantide does not own, operate, or control such third-party services and is not responsible for their availability, functionality, content, pricing, policies, security practices, or terms of use.

The Services may include features designed to facilitate the management of user activity, usage statistics, integrations, preferences, memories, indexing functions, or similar capabilities. Available features may change from time to time at Quantide's discretion.

Quantide may modify, update, suspend, discontinue, or replace any feature, functionality, integration, or aspect of the Services at any time. Quantide will use reasonable efforts to provide notice of material changes where required by applicable law.

The Services are provided as a technology platform. Quantide does not provide legal, financial, tax, accounting, medical, employment, investment, or other professional advice, and nothing made available through the Services should be interpreted as such advice.

Article 4. Subscription Plans, Free Trials, and Billing

Certain features of the Services may require a paid subscription. Subscription plans, pricing, included features, usage limits, and billing terms will be described on the Services or otherwise made available to you at the time of purchase.

Quantide may offer free trials, promotional plans, discounts, or other limited offers. Unless otherwise stated, free trials automatically expire at the end of the applicable trial period. Additional terms may apply to promotional offers.

Unless otherwise stated at the time of enrollment, your subscription will automatically renew at the end of the applicable trial or billing period until cancelled. By providing a payment method, you authorize Quantide and its payment processor to charge all applicable subscription fees and taxes.

If you purchase a subscription, you authorize Quantide and its payment processors to charge the payment method you provide for all applicable fees, taxes, and recurring charges associated with your subscription plan.

Subscriptions automatically renew at the end of each billing period unless cancelled before renewal. If you cancel a subscription, cancellation will take effect at the end of the then-current billing period, and you will retain access to paid features until that time.

Except as required by applicable law or expressly stated in a separate refund policy, subscription fees are non-refundable. Quantide may, in its sole discretion, issue refunds, credits, or adjustments on a case-by-case basis.

Quantide reserves the right to modify pricing, subscription plans, or billing structures at any time. Any material pricing changes will not apply to an active subscription period and will be communicated before taking effect.

Unless otherwise stated, all fees are quoted and payable in U.S. dollars and do not include applicable taxes, duties, levies, or governmental charges, which remain your responsibility.

If a payment method cannot be successfully charged, Quantide reserves the right to suspend or terminate access to paid features until payment is received.

Article 5. Third-Party Services and AI Providers

The Services may enable you to connect, access, manage, or interact with third-party artificial intelligence providers, software applications, APIs, subscription services, cloud services, integrations, and related technologies ("Third-Party Services").

Your use of any Third-Party Service is governed solely by the terms, policies, pricing, and requirements established by the applicable provider. Quantide is not a party to any agreement between you and a Third-Party Service provider and assumes no responsibility for the acts, omissions, products, services, content, or decisions of any Third-Party Service.

You are solely responsible for obtaining and maintaining any accounts, subscriptions, credentials, licenses, permissions, or authorizations required to access Third-Party Services through the Services.

Quantide does not guarantee the continued availability, compatibility, performance, accuracy, pricing, or functionality of any Third-Party Service. Providers may modify, suspend, restrict, or discontinue their services at any time without notice to Quantide.

To the extent necessary to provide the Services, you authorize Quantide to facilitate communications, requests, and interactions between your account and the Third-Party Services you choose to connect.

Certain connections to Third-Party Services may be established through software running locally on your device. Quantide does not receive or store your credentials for supported subscription providers and only facilitates the connection between you and the applicable Third-Party Service.

Quantide may add, remove, suspend, replace, or discontinue support for any Third-Party Service, integration, model, provider, or related functionality at any time.

Quantide is not responsible for outages, interruptions, pricing changes, account restrictions, suspensions, data handling practices, security incidents, or other actions or omissions of any Third-Party Service.

Article 6. User Content and AI Outputs

You retain ownership of any information, data, text, files, prompts, instructions, materials, or other content that you submit, upload, transmit, store, or otherwise make available through the Services ("User Content").

Subject to these Terms, you grant Quantide a limited, non-exclusive, worldwide, royalty-free license to host, process, transmit, store, analyze, and otherwise use User Content solely as necessary to operate, maintain, secure, improve, and provide the Services and to comply with legal obligations.

The Services may facilitate the generation, retrieval, modification, or delivery of outputs produced by third-party artificial intelligence systems ("AI Outputs"). Ownership, availability, and permitted use of AI Outputs may depend on the terms of the applicable Third-Party Service provider.

You are solely responsible for reviewing, evaluating, and verifying the accuracy, completeness, legality, and suitability of any AI Output before relying on or using it. AI Outputs may be inaccurate, incomplete, misleading, offensive, or otherwise unsuitable for particular purposes.

You represent and warrant that you possess all rights, licenses, permissions, consents, and legal authority necessary to provide User Content through the Services and any connected Third-Party Services, and that Quantide's collection, use, processing, storage, and transmission of such User Content as permitted under these Terms will not violate any applicable law or third-party rights.

Quantide does not claim ownership of your User Content or AI Outputs except for the limited rights expressly granted under these Terms.

Article 7. Privacy and Data Practices

Your use of the Services is subject to Quantide's Privacy Policy, which is incorporated into these Terms by reference.

Quantide may collect, use, store, disclose, and otherwise process information relating to your use of the Services as described in the Privacy Policy.

You acknowledge that certain features of the Services may require the processing of account information, usage information, credentials, integrations, preferences, memories, indexing data, and other information necessary to operate and provide the Services.

Except as expressly disclosed in the Privacy Policy, Quantide does not use User Content or AI Outputs to train artificial intelligence models owned or operated by Quantide.

You may have certain rights regarding your personal information under applicable law. Additional information regarding privacy practices, retention periods, deletion requests, and applicable privacy rights is available in the Privacy Policy.

Article 8. Acceptable Use

You may not use the Services in any manner that violates applicable law, infringes the rights of others, interferes with the operation of the Services, or creates legal, security, or reputational risks for Quantide.

Without limitation, you may not:

• use the Services for any unlawful, fraudulent, deceptive, or misleading purpose;
• violate, circumvent, or attempt to circumvent any security measure, access control, usage restriction, or technical limitation of the Services or any connected Third-Party Service;
• interfere with, disrupt, damage, overload, or impair the operation of the Services or any connected Third-Party Service;
• access or use the Services in a manner that violates the terms, policies, or usage requirements of any connected Third-Party Service;
• upload, transmit, or distribute malware, malicious code, harmful content, or material intended to disrupt systems, networks, or devices;
• use the Services to infringe intellectual property rights, privacy rights, publicity rights, contractual rights, or other rights of any person or entity;
• use the Services to generate, distribute, or facilitate unlawful content, fraudulent schemes, harassment, threats, violence, or other prohibited conduct; or
• resell, sublicense, lease, distribute, or commercially exploit the Services except as expressly authorized by Quantide.

Quantide may investigate violations of this Article and may suspend, restrict, or terminate access to the Services where it reasonably believes a violation has occurred.

Article 9. Intellectual Property Rights

The Services, including all software, technology, interfaces, designs, trademarks, logos, service marks, copyrights, documentation, and other content made available by Quantide, are owned by Quantide or its licensors and are protected by applicable intellectual property laws.

Except for the limited rights expressly granted under these Terms, no right, title, or interest in the Services or Quantide's intellectual property is transferred to you.

Subject to your compliance with these Terms, Quantide grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services during the applicable subscription period or authorized access period.

Certain software components made available by Quantide may be licensed under separate open-source or source-available licenses. Your use of those components is governed by their applicable license terms.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, create derivative works from, or otherwise exploit the Services except as expressly permitted by applicable law or with Quantide's prior written consent.

If you provide suggestions, ideas, feedback, recommendations, or other input regarding the Services ("Feedback"), you grant Quantide a perpetual, irrevocable, worldwide, royalty-free right to use, modify, incorporate, commercialize, and otherwise exploit such Feedback without restriction or compensation.

Article 10. Suspension, Termination, and Account Deletion

You may stop using the Services at any time and may terminate your account through the functionality made available within the Services.

Quantide may suspend, restrict, or terminate your access to all or part of the Services if Quantide reasonably determines that: (a) you have violated these Terms; (b) your use of the Services presents a legal, security, operational, or reputational risk; (c) suspension is necessary to protect Quantide, the Services, users, or third parties; or (d) Quantide is required to do so by applicable law or governmental request.

If you cancel your subscription, you may continue using paid features until the end of your current billing period unless otherwise stated. Deleting your account or cancelling your subscription does not automatically entitle you to a refund except as provided in the applicable Refund Policy.

Where available, users may request deletion of their account and associated data through the Services. Quantide will process deletion requests in accordance with applicable law and the Privacy Policy.

Certain information may be retained following termination or deletion where necessary to comply with legal obligations, resolve disputes, enforce agreements, detect fraud, maintain security, or protect the rights of Quantide and others.

Any provisions of these Terms that by their nature should survive termination shall survive, including provisions relating to intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.

Article 11. Disclaimers

The Services are provided on an "as is" and "as available" basis to the maximum extent permitted by applicable law.

Quantide makes no representations or warranties, express, implied, statutory, or otherwise, regarding the Services, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, or reliability.

Quantide does not warrant that the Services will be uninterrupted, secure, error-free, or available at all times, or that defects will be corrected.

The Services may facilitate access to Third-Party Services and AI Outputs. Quantide does not control and is not responsible for the content, availability, legality, accuracy, reliability, or performance of any Third-Party Service or AI Output.

AI Outputs may contain inaccuracies, omissions, biases, or other errors and should not be relied upon without independent review and verification.

The Services are not intended to provide legal, financial, tax, accounting, medical, employment, investment, or other professional advice. Any decisions or actions taken based on information obtained through the Services are solely your responsibility.

From time to time, Quantide may offer beta, preview, experimental, or early-access features. Such features are provided without warranties of any kind and may be modified or discontinued at any time.

Article 12. Limitation of Liability

To the fullest extent permitted by applicable law, Quantide and its affiliates, officers, directors, employees, contractors, licensors, service providers, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunities, goodwill, data, or use arising out of or relating to the Services or these Terms.

To the fullest extent permitted by applicable law, Quantide's total aggregate liability arising out of or relating to the Services or these Terms shall not exceed the greater of: (a) the total amount paid by you to Quantide during the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred U.S. dollars (USD $100).

The limitations contained in this Article apply regardless of the form of action, whether based in contract, tort, negligence, strict liability, statute, or otherwise, and even if a remedy fails of its essential purpose.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

Article 13. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Quantide, its affiliates, licensors, service providers, and their respective officers, directors, employees, contractors, and agents from and against any claims, demands, actions, proceedings, investigations, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• your use of the Services;
• your User Content;
• your violation of these Terms;
• your violation of any applicable law, regulation, or third-party right; or
• your use of any Third-Party Service through the Services.

Quantide reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with Quantide in the defense of such matter.

Article 14. Informal Dispute Resolution

Before initiating arbitration or legal proceedings, you and Quantide agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to the Services or these Terms through informal negotiations.

A party seeking to initiate a dispute must first provide written notice to the other party describing the nature of the dispute and the relief sought.

The parties agree to make good-faith efforts to resolve the dispute informally for a period of thirty (30) days following receipt of such notice before commencing arbitration or other proceedings, unless a longer period is required by applicable law.

Nothing in this Article prevents either party from seeking emergency injunctive relief where necessary to prevent imminent and irreparable harm.

Article 15. Arbitration Agreement

Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to the Services or these Terms that cannot be resolved through informal dispute resolution shall be resolved exclusively through final and binding arbitration on an individual basis.

The arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its applicable consumer arbitration rules then in effect.

The arbitration shall be conducted by a single arbitrator and may be conducted remotely, by written submissions, or in a location determined in accordance with the applicable AAA rules.

You and Quantide agree that each may bring claims against the other only in an individual capacity and not as a plaintiff, claimant, class representative, or class member in any purported class action, collective action, representative action, or consolidated proceeding.

To the fullest extent permitted by law, you and Quantide waive any right to a trial by jury for claims subject to arbitration under this Article.

If any portion of this Article is found unenforceable with respect to a particular claim or remedy, the remaining portions shall remain in full force and effect to the maximum extent permitted by law.

Article 16. Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to the Services or these Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to these Terms.

To the extent any dispute is permitted to proceed in court rather than arbitration, the parties agree that such dispute shall be brought exclusively in the state or federal courts located in Wyoming, and each party irrevocably submits to the personal jurisdiction of such courts.

Article 17. Miscellaneous

These Terms, together with any policies or documents incorporated by reference, constitute the entire agreement between you and Quantide regarding the Services and supersede all prior or contemporaneous understandings relating to the subject matter hereof.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Quantide's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

You may not assign, transfer, delegate, or otherwise dispose of any rights or obligations under these Terms without Quantide's prior written consent. Quantide may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.

Quantide shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet outages, infrastructure failures, governmental actions, or interruptions affecting third-party providers.

The Services may be subject to United States export control and sanctions laws. You agree to comply with all applicable export control and sanctions laws and regulations in connection with your use of the Services.

Quantide may provide notices electronically, including through the Services, by email, or by other reasonable means. You consent to receive such communications electronically and agree that such communications satisfy any legal requirement that communications be in writing.
